Amazon Marketplace Paid Services Program Addendum

This agreement is an addendum to the Amazon Services Europe Business Solutions Agreement(the “Agreement”) and will be referred to as the “SAS Essential Addendum”. This SAS Essential Addendum applies to your participation in the SAS Essential Paid Services Program (the “SAS Essential Program”) provided by Amazon EU S.à r.l. (“we”, “us” and “Amazon”) to you. By joining the SAS Essential Program, you (on behalf of yourself or the business you represent) agree to this SAS Essential Addendum. The existing terms of the Agreement will remain in full force and effect between you and us.

1. Definitions: The SAS Essential Program is a paid-for program offering selling partners the opportunity to benefit from the support of an Account Manager (“AM”). Unless defined otherwise in this SAS Essential Addendum, capitalised terms have the meaning given to them in the Agreement.

2. SAS Essential Program benefits: You will be assigned an AM that will provide you with generic information on how to grow your business based on Amazon’s experience. This may include: (i) information about how Amazon’s programs and services available to you can help grow your business; (ii) coaching in the use of Amazon’s programs and services in ways that will help you implement your business development plans on a bi-monthly cadence; (iii) guidance on activation of marketing levers to increase discoverability. For this purpose, Amazon may provide you with general training materials and resources with tips on merchandising and branding. For the avoidance of doubt. the SAS Essential Program:

a) does not include any advice on individual details of product listings, beyond general advice on format and presentation in accordance with the Agreement and applicable Programme Policies, and you remain solely responsible for providing accurate, lawful and complete Required Product Information, as required by the Agreement (including, without limitation, in S-1.1), as well as accurate and complete seller information;

b) does not provide different or preferential treatment in respect of account and ASIN level enforcement actions which remain subject to the Agreement and our applicable Programme Policies;

c) provides a reduced version of the AM support given in the SAS Pro Program, approximately 50% of the AM support provided on the SAS Pro Program.

3. Limitation of liability: Amazon will not be involved in your responsibilities as a selling partner or your business strategy (such as setting prices, listing and delisting products, product selection, offer and promotional enhancement, account general settings and account activation or deactivation, staging). Amazon accepts no liability for the content, completeness, lawfulness or accuracy of your Required Product Information and of your seller information, nor for your business strategy. Participation in the SAS Essential Program does not guarantee an increase in your sales and may not include access to other Amazon services and programs.

4. Fees: As consideration for the services provided to you pursuant to the SAS Essential Program, you will pay a fee (the “Monthly Fee”), for the duration of the SAS Essential Program. The Monthly Fee is due on the first of each month during your participation in the SAS Essential Program. Only one Monthly Fee is payable in respect of the Amazon Site Country of the primary Amazon Site for which we have registered your account, regardless of whether or not you also sell on other Amazon Sites, as set out below. Your Monthly Fee will be payable in the Local Currency of that Amazon Site Country. The Monthly Fee is comprised of either:

For France, Italy, Spain, Germany: €700 (the “Based Fixed Monthly Fee”) and a reference amount (the “Reference Amount”). The Reference Amount shall be equal to 0.30% of the total monthly value of your products sold on the UK and EU Amazon Stores, including the item price and any shipping, gift-wrap or other charges, for the month pursuant to which the invoice will be issued. The Reference Amount is expressed in euros. The maximum Monthly Fee is €2,500. The Monthly Fee is net of applicable taxes and is non-refundable.

Or, for UK: £625 (the “Based Fixed Monthly Fee”) and a reference amount (the “Reference Amount”). The Reference Amount shall be equal to 0.30% of the total monthly value of your products sold on the UK and EU Amazon Stores, including the item price and any shipping, gift-wrap or other charges, for the month pursuant to which the invoice will be issued. The Reference Amount is expressed in pounds sterling. The maximum Monthly Fee is £2,250. The Monthly Fee is net of applicable taxes and is non-refundable.

5. Term: The term of this SAS Essential Addendum will begin on the first day of the calendar month following its acceptance (the “Effective Date”). There is a minimum commitment of 6 months (“Minimum Term”). After completing the Minimum Term, this Addendum will automatically terminate unless Amazon and you mutually agree before the termination to extend for another 6-month period, which shall commence on the expiry of the Minimum Term. During this extension period, you cannot end your participation in the SAS Essential Program.

Every month started is due; meaning on your last month you will pay the full Monthly Fee. If 30 days’ notice brings your termination date into the following month, the Monthly Fee will be due on the first of that month, and you will receive SAS Essential Program benefits through the end of that month. For example, if you give notice to terminate on 15 June your last bill will be on 1 July and you will receive SAS Essential Program benefits until 31 July.

6. Effectiveness of Agreement: The Agreement, as modified by this SAS Essential Addendum, will remain in full force and effect in accordance with its terms. In the event of any conflict between the Agreement and this SAS Essential Addendum, the terms of this SAS Essential Addendum will prevail.

7. Notice: Amazon will provide notice to you under this Agreement by posting changes on Seller Central or on the applicable Amazon Store or Marketplace Developer site accessible through your account, by sending you an email notification, or by similar means.

8. Termination: We may terminate any of the terms and conditions contained in this SAS Essential Addendum for convenience with 30 days’ advance notice in accordance with Article 7. Notwithstanding Article 5 above, this SAS Essential Addendum will terminate upon (i) termination of the Agreement or (ii) our publication on Seller Central or on the applicable Amazon Site of terms and conditions governing your participation in a substantially similar service. If we terminate your participation in the SAS Essential Program, you will be under no obligation to pay future Monthly Fees, including if we terminate your participation during the Minimum Term. If you terminate your participation in the SAS Essential Program, you must continue to pay the Monthly Fee during the Minimum Term.

7. 通知：亚马逊将通过在卖家平台、相关亚马逊店铺或可通过您账户访问的商城开发人员网站上公布变更、向您发送电子邮件通知或类似方式，向您提供本补充协议项下的通知。
