Marketplace Paid Services Program Addendum
This agreement is an addendum to the Amazon Services Business Solutions Agreement (as amended from time to time; the “Agreement”) and will be referred to as the “MPS Addendum”. This MPS Addendum applies to your participation in the Amazon Marketplace Paid Services Program (the “MPS Program”) provided by Amazon Japan GK (“we”, “us” and “Amazon”) to you. By joining the MPS Program, you (on behalf of yourself or the business you represent) agree to this MPS Addendum.
1. Definitions: The MPS Program is a paid-for program offering selling partners the opportunity to benefit from the support of a Merchant Consultant (“MC”) on Amazon Site and access to Premium Selling Partners Support (“PSSP”). Unless defined otherwise in this MPS Addendum, capitalized terms have the meaning given to them in the Agreement.
2. MPS Program benefits: You will be assigned a MC that will provide you with generic information on how to grow your business based on Amazon’s experience. This may include: (i) information about how Amazon’s programs and services available to you can help grow your business; (ii) support with operational issues and education on Amazon Associated Properties; (iii) coaching in the use of Amazon’s programs and services in ways that will help you implement your business development plans, (iv) guidance on activation of marketing levers to increase discoverability. For this purpose, Amazon may provide you with training materials and resources for merchandising and branding your products. You will also get access to PSSP to answer your inquiries while selling on Amazon Site.
3. Limitation of liability: Amazon will not be involved in your responsibilities as a selling partner or your business strategy (such as setting prices, listing and delisting products, product selection, offer and promotional enhancement, account general settings and account activation or deactivation, staging). Amazon accepts no liability for your business strategy. Participation in the MPS Program does not guarantee an increase in your sales and may not include access to other Amazon services and programs.
4. Fees: As consideration for the services provided to you pursuant to the MPS Program, you will pay a fee on the first day of each month (the “Monthly Fee”), for the duration of the MPS Program. The Monthly Fee is comprised of 160,000 yen (the “Based Fixed Monthly Fee”) and a reference amount (the “Reference Amount”). The Reference Amount shall be equal to 0.30% of the total monthly valueof your products sold to Amazon’s customers, including the item price and any shipping, gift-wrap or other charges, for the month during which the invoice will be issued. The maximum Monthly Fee is 1,000,000 yen. The Monthly Fee is net of applicable taxes and is non-refundable.
5. Term: The term of this MPS Addendum will begin on the first day of the calendar month following its acceptance (the “Effective Date”). There is a minimum commitment of 6 months (“Minimum Term”). Once you have completed the Minimum Term, you may cancel your participation in the MPS Program after providing 30 days’ notice. Every month started is due; meaning on your last month you will pay the full Monthly Fee.
6. Effectiveness of Agreement: The Agreement, as modified by this MPS Addendum, will remain in full force and effect in accordance with its terms. In the event of any conflict between the Agreement and this MPS Addendum, the terms of this MPS Addendum will prevail.
7. Notice: Amazon will provide notice to you under this MPS Addendum by posting changes on Seller Central or on the applicable Amazon Site or Marketplace Developer site accessible through your account, by sending you an email notification, or by similar means.
8. Termination: We may terminate any of the terms and conditions contained in this MPS Addendum for convenience with 15 days’ advance notice in accordance with Article 7. Notwithstanding Article 5 above, this MPS Addendum will terminate upon (i) termination of the Agreement or (ii) our publication on Seller Central or on the applicable Amazon Site of terms and conditions governing your participation in a substantially similar service. If we terminate your participation in the MPS Program, you will be under no obligation to pay future Monthly Fees, including if we terminate your participation during the Minimum Term. If you terminate your participation in the MPS Program, you must continue to pay the Monthly Fee during the Minimum Term.

3. 责任限制：亚马逊不作为您的销售伙伴或为您的商业战略承担责任（例如定价，商品上架或下架，产品选择，购买按钮及促销强化，账户一般设置，账户激活及注销，staging）。亚马逊对您的商业战略不承担责任。参与亚马逊卖家成长服务-旗舰版并不保证您销量的增长及加入其他亚马逊服务和项目的机会。
4. 费用：作为根据亚马逊卖家成长服务-旗舰版向您提供服务的对价，您将在参加亚马逊卖家成长服务-旗舰版期间于每月第一天支付一笔费用（“月费“）。月费由160,000日元（“基础固定月费”）及推荐费（“推荐费”）构成。推荐费应等于发票开具当月您全月销售给亚马逊客户所有产品价格的0.3.%，包括产品单价及任何运费、礼品包装费或其他费用。最高月费上限为1,000,000日元。月费不含可适用的税费且不可退款。
5. 期限：本亚马逊卖家成长服务-旗舰版附录于接受之日后下一个自然月的第一天生效（“生效日”）。该服务有至少6个月的承诺期(“最短期限”)。当您已经完成最短期限，您可以在提供提前30天通知之后取消参与亚马逊卖家成长服务-旗舰版。每个月初即应当付款，即您在使用亚马逊卖家成长服务-旗舰版的最后一个月将支付全部的月费。
6. 协议有效期：协议，经本亚马逊卖家成长服务-旗舰版附录修改后，其条款均保持全部效力。若协议和亚马逊卖家成长服务-旗舰版附录有任何冲突之处，本亚马逊卖家成长服务-旗舰版附录条款优先适用。
7. 通知：亚马逊将在本亚马逊卖家成长服务-旗舰版附录下通过在卖家后台或可适用的亚马逊网站或您的账户可以进入的站点开发网站上以邮件通知或其他类似方式向您发布修改的通知。
8. 终止： 我们有权根据第7条规定提前15日通知后无因终止本亚马逊卖家成长服务-旗舰版附录中的任何条款。尽管有以上第5条的规定，本亚马逊卖家成长服务-旗舰版附录将终止于（i）协议终止时或（ii）您参与了我们在卖家后台或可适用的亚马逊网站上发布的其他实质性类似服务。若我们终止了您参与亚马逊卖家成长服务-旗舰版，您将不再负有支付未来月费的义务，包括若我们在最短期限内终止您参与的情形。若您终止参与亚马逊卖家成长服务-旗舰版，您必须在最短期限内继续支付月费。
